Trading Stage 2 CONSTITUTION
- Sub Committee of the Executive Committee
- Reports to the Executive Committee
The overall purpose of the Trading Stage 2 (TS2) is, where identified
in the
Business Plan or delegated from the Executive Committee, to:
- Monitor and manage the operation of the Stage 2 Settlement;
- Approve and manage change to Stage 2 Settlement; and
- Take forward development projects for Stage 2 Settlement.
Additionally, the TS2 will perform these activities for the 100kW market
until such
time as migration is complete.
MEMBERSHIP
Chairman
- The Executive Committee will determine the Chairman. In his absence
the CEO
will provide a Chairman. The Chairman of the meeting in his capacity
as Chairman
shall not have any vote at meetings of the TS2.
Voting Representatives
- 1 Representative nominated by each Executive Committee Member
Each Sub Committee Member may appoint any person to be his alternate.
Non Voting Representatives
- Representative nominated by each of the Chief Executive, the Director
Gener
al of Electricity Supply, the Pool Auditor and of such of the service
functions
(Settlement System Administrator, Initial Settlement and Reconciliation
Agent,
Scottish Electricity Settlement Limited, Meter Operator Parties, Profiling
Administrator, Supplier Agents, Pool Funds Administrator, Grid Operator,
Ancillary Services Provider) as may from time to time be judged appropriate
by the
Chairman.
- Committee Secretary
- Appropriate experts may be invited by the Chairman to attend a meeting
as necessary.
QUORUM AND DECISION MAKING
A quorum shall comprise 6 voting members or their alternates. Individual
Committee
Members are appointed to represent the interests of the Pool and must carry
out all
duties and responsibilities without favour or prejudice.
Decisions of the TS2 will be by 65% majority of those present [and voting]
and will
not have binding effect unless the Executive Committee shall have delegated
the
relevant decision making powers or subsequently approves the decision by
resolution.
Decisions of the meeting should be reported to the Pool Members within 3
working
days of the meeting. Any Pool Member can appeal a decision to the Executive
Committee within 5 working days of the decisions being notified. An appeal
of any
decision must be channelled through the members' representative on the TS2.
FREQUENCY OF MEETINGS
Meetings shall be held at least monthly and arranged so that minutes of
the meetings
can be circulated to Committee Members in time for consideration before
the next
following regular meeting of the PEC; extraordinary meetings may be requested
by
any TS2 member subject to agreement by the Chairman.
AUTHORITY AND DUTIES
To advise and make recommendations to the Executive Committee on Stage 2
Settlement and, until such time as migration is complete, the 100kW Market.
In particular the TS2G will be responsible for:
- The control of funds and planning of the activities allocated to it
by the Executive
Committee in accordance with the Pool Business Plan.
- Managing the operation of Stage 2 Settlement to meet Pool Members'
requirements.
- Recommending changes to Pool Rules relating to Stage 2 Settlement
(these will subsequently be presented to the Development Group for endorsement).
- Approving changes to:
- Service Lines and Agreed Procedures relating to Stage 2 Settlement;
and
- other controlled documents specifying Stage 2 Settlement; and
- Operation Policies as delegated by PEC.
- Investigating any issues raised about the performance of Stage 2
Settlement.
- Managing change to Stage 2 Settlement.
- Investigation and progression of issues for ad hoc software projects
and maintenance projects for Stage 2 Settlement.
- Identifying issues worthy of development relating to Stage 2 Settlement.
Thereafter, making proposals (for incorporation in the Pool Business
Plan) for approval by the Executive Committee, or undertaking other
appropriate actions to progress the issues in question
- Progressing development projects identified in the Pool Business
Plan or delegated by PEC , relating to Stage 2 Settlement. In this regard
the duty of the TS2 is to progress projects through to the preparation
of a project brief (as appropriate) from which a project can be initiated.
The TS2 budget will cover the development of projects from inception,
although it is anticipated that part or all of a specific project budget
will be delegated to an appropriately constituted Project Board once
established and PEC agreement to proceed is given.
ESTABLISHING WORKING GROUPS
The TS2 shall be at liberty to establish working groups to consider particular
issues within its remit. Terms of reference for each such group will be
agreed by the TS2 before the first meeting of any such working group.
Such Groups might include:
- Stage 2 Forum (S2F);
- Supplier Agent Forum (SAF);
- Non Half Hourly Technical Assurance Group; and
- Half Hourly Technical Assurance Group.
